Section I: General Terms of Use

1. Introduction
Welcome. These are the Terms and Conditions of Service (the “Terms”) governing the use of the mobile application known as Neero (the “App”) and the website located at www.neero.online (the “Site”), including its sub-domains and mobile-optimized versions. The App and the Site are provided by Neero Ltd. (hereinafter, the Site, the App, and Neero Ltd. shall all be collectively referred to as “Neero”). These Terms are supplemented by and incorporate by reference our Privacy Policy (the “Policy”).
The terms ‘us’, ‘our’, and/or ‘we’ refer to Neero and/or our affiliates, assignees, successors, and/or brands. The terms ‘you’, ‘your’, and/or ‘yourself’ refer to you, a user/visitor/browser of our Site and App, whether registered under an account or otherwise.

2. Acceptance and Agreement
By continuing to browse and use Neero, you hereby acknowledge and agree to be bound by these Terms which, together with our Policy, shall govern Neero’s relationship with you concerning the Site, the App, and any products and services offered thereby (collectively, the “Services”).
You further acknowledge and agree that these Terms are concluded solely between you and Neero, and not with Google Inc. or Apple Inc. Neero is exclusively responsible for the Site, the App, and their content. These Terms must not stipulate usage rules for the App that are less restrictive than, or otherwise conflict with, the usage rules set forth for licensed applications in Google Inc.’s or Apple Inc.’s terms and conditions of service.

3. Updates and Amendments
Neero reserves the right to modify, amend, suspend, terminate, upgrade, update, or otherwise alter these Terms, the Site, the App, and the Services, at any time and without prior notice. Changes will be displayed on the Site, and we may notify you via the App or email. Your use of our Services after the effective date of any update – whether through account registration or simple use – constitutes your acceptance thereof.

Section II: Service Description and Disclaimer

4. Neero’s Services
Neero aims to facilitate the faster and simpler booking of local services. Users intending to purchase services (“Customers”) can book pre-approved services from Professionals such as taxi drivers, electricians, plumbers, cleaning services, food/grocery delivery, and more (“Professionals”).
Neero provides a technological platform that includes functionalities for: taxi booking, delivery requests, posting job requests by Customers, Professionals submitting bids, a directory of Professionals, and a platform enabling direct communication, negotiation of terms, price, and progress tracking between parties.
The Site supports Future Booking at a mutually agreed-upon time and location, while the App supports both Future Booking and immediate On Demand Booking with real-time tracking.

5. Service Disclaimer
Neero provides only an online platform for Professionals to submit bids to Customers. If a bid is accepted, the Professional and the Customer shall directly negotiate and contract for the service provision, and the Customer will be obligated to pay the Professional directly (not Neero).
Neero does not provide the actual professional services, and expressly disclaims any and all representations or warranties regarding Customers (including their likelihood to pay), or the actual performance, skill, or availability of the Professionals.
Our payment system is designed solely for the transfer of funds from Customers to Professionals, minus our commission. All payment and service obligations between users remain their sole responsibility. We offer non-binding mediation services as an option to our users.

Section III: Account Management and Operations

6. Account Registration, Verification, and Safety
To use our Services, you must create an account and provide accurate, complete information for all mandatory fields. You agree to keep your chosen password confidential and notify us promptly if it is lost or disclosed.
You are solely responsible for all activity on your account and for maintaining password security, and must notify us immediately of any breach. You will be liable for any misuse of your account. Access to Neero is for your individual use only.

7. Account Suspension and Termination
Neero reserves the sole and final discretion to deactivate, freeze, suspend, or terminate any account and/or event upon any factual or alleged breach of these Terms (e.g., fraudulent communication), without notice or liability.
We may report activity that violates any law-to-law enforcement, and any violation may result in the immediate termination of your access to the App and Services.

8. Service Eligibility
Neero does not knowingly provide Services to persons under eighteen (18) years of age. If you are under this age, you may not use the App or Site. Neero will delete any information collected from persons under eighteen (18).

9. Professional Accounts
For Professional users, we may request basic documentation for minimum checks, potentially including: personal/professional details (e.g., license, proof of address), billing information, ratings/reviews, and experience. We reserve the right to review, approve, or reject service categories at our discretion.

10. Customer Accounts
For Customer users, we may request basic documentation including: personal/professional details, billing information (credit card/digital payment accounts), and social media linking.
 

Section IV: Booking Process and Charges

11. Booking Process
Customers can post service requests (“Job”) indicating the service type, timeframe, location, proposed fee, etc. (“Request”). Professionals can post a custom proposal (“Proposal”) including cost estimate and availability. Requests are free for Customers; Proposals require purchase of pre-paid credits by Professionals.
Future Bookings: Confirmed at a mutually agreed time/location.
On Demand Bookings: App matches Customers with Professionals based on proximity/availability, and allows for real-time tracking.
Booking Terms: By submitting a Proposal, the Professional warrants they are skilled and the estimate is true/reasonable. By posting a Request, the Customer warrants they are available and the Location is accessible. Misrepresentation constitutes a breach of Terms and is grounds for cancellation or account suspension. Neero may implement systems to measure bidding fairness and limit the number of Proposals.

12. Booking Contract
The contract for the provision of services for each Job is solely between the Professional and the Customer. Neero is not considered a third party under the Contracts (Rights of Third Parties) Act 1999 and incurs no obligation under the Job contract.

13. Booking Charges
Customers and Professionals determine the final Job cost.
No Charge If: (i) Customer cancels a Future Booking at least twenty-four (24) hours prior; and/or (ii) Customer cancels an On Demand Booking within ten (10) minutes of booking.
Neero Charge Applies If: (i) Customer cancels/reschedules a Future Booking within twenty-four (24) hours; (ii) Customer cancels an On Demand Booking after ten (10) minutes; and/or (iii) Professional has already begun work or is traveling to the Location.
Professional Refund: Credits are automatically refunded if the Customer fails to review a Proposal within four (4) days, or if the Customer cancels the Request prior to reviewing any Proposals.
Customer No-Show: If a Professional arrives and cannot contact the Customer or gain access within twenty (20) minutes, the Job is cancelled, and the Customer is charged the minimum hourly charge or the fixed Job price.

14. General Payment Terms
All purchases are final and non-refundable, except as expressly set forth herein. You authorize us to charge your credit card or payment account periodically. We use a third-party payment processor (Stripe), and processing is subject to their terms and fees. Neero is not responsible for processor errors or currency conversion fees.

15. Mediation Services
Neero offers mediation services for disputes (“Dispute”) regarding: (i) Customer dissatisfaction with a Professional's performance/quality; and/or (ii) Professional claims of non-payment by a Customer for a completed Job (cash option). Mediation must be requested within two (2) days of the Job completion date.
Neero acts only as a mediator and will offer a non-binding recommendation for settlement. If a complaint is unresolved within eight (8) weeks, the user may address it to alternative dispute resolution entities (e.g., Customer Dispute Resolution Ltd, www.cdrl.org.uk).
 

Section V: Access, Liability, and Intellectual Property

16. Access to Neero
Access requires a valid license, an Internet connection, a modern mobile device with required specifications, and a valid payment account. Attempting to disable or circumvent security features will terminate these Terms. Open Source software incorporated into the App is not governed by these Terms.

17. Prohibited Activities
You agree not to undertake, motivate, or facilitate the use or access of Neero to: a. Infringe these Terms. b. Plagiarise or infringe third-party intellectual property or privacy rights. c. Distribute content that promotes discrimination/hatred, endangers minors, enables illegal/fraudulent activities, or is obscene/defamatory. d. Collect or disseminate personally identifiable information without consent. e. Promote fraudulent activities (e.g., ponzi schemes). f. Use automated or manual processes (scraping/data-mining) to obtain unauthorized data. g. Disseminate computer viruses or destructive items. h. Cause an unreasonable load on Neero’s infrastructure or intercept activity. i. Reverse engineer, decompile, or extract Neero’s proprietary code.

18. Content Moderation
Neero has the right, but not the obligation, to monitor and manage “user generated content” (e.g., posts, images, comments) for compliance, and to edit, refuse, or remove material found to be objectionable or in violation of Terms. Violation may result in immediate termination of access.

19. Ownership
The intellectual property rights (trademarks, copyright, etc.) displayed on Neero are the property of Neero or its licensors. No section grants you any right, transfer, or interest in Neero or our Services. Neero, not Google Inc. or Apple Inc., is solely responsible for the investigation, defense, and settlement of any third-party intellectual property infringement claim related to the App.

20. Licenses for Neero
Limited License: We grant you a limited, non-exclusive, revocable, and non-transferable license to access Neero. Duplicating, reverse-engineering, or modifying the Services is prohibited.
User Generated Content License: You grant Neero an unlimited, non-exclusive, sub-licensable, assignable, royalty-free, perpetual, and irrevocable worldwide right and license to use, host, store, reproduce, modify, publish, and distribute any content you upload or transmit via the Services, for the purpose of providing its Services.
Feedback: You grant Neero an unlimited, non-exclusive, assignable, transferable, sublicensable, irrevocable, and perpetual royalty-free right and license to use and exploit any feedback or suggestions you provide regarding the App, Site, and/or Services.

21. Copyright Protection
For copyright takedown notices, contact us as indicated in our contact section with the subject: "Takedown Request". Knowingly misrepresenting infringing material may subject you to criminal prosecution and civil penalties.
